UAE business legal clarity has created more disruption in the market than most people realise. And for that, I owe a few people an apology. Over the last few years, my work has unintentionally caused a shift in how deals are negotiated, how contracts are drafted, and how business owners protect themselves.
But the intention was never to disrupt. The intention was to protect founders, investors, and operators from unnecessary mistakes, avoidable disputes, and sleepless nights.
Yet one change led to another.
Vague contracts suddenly became clear.
Risk-heavy deals began getting restructured.
Delay tactics stopped working.
“Standard templates” lost their power.
And clients confidently started saying, “No, that clause does not fly in the UAE.”
Some people who relied on ambiguity didn’t appreciate this clarity.
So, here is my sincere apology.

7 Powerful Ways UAE Business Legal Clarity Protects Companies
1. Clear drafting removes unnecessary disputes
When contracts are written in clear, plain English, misunderstandings disappear. Most legal fights do not happen because someone intended to cheat — they happen because the contract allowed multiple interpretations.
Clarity stops that.
2. Shareholder rights become stronger
Good drafting ensures founders are protected from dilution, arbitrary decisions, and silent changes. This protects long-term ownership and reduces unnecessary friction within the company.
3. Ambiguity is removed from commercial terms
Ambiguous clauses about scope, timelines, obligations, penalties, or deliverables create leverage for the wrong party. When clarity enters the deal, the imbalance disappears — and fairness is restored.
4. Risk-heavy deals get restructured
Many deals in the UAE place disproportionate risk on one party — usually the less experienced founder or small business. Once the risk is clarified, the deal becomes balanced, sustainable, and negotiable.
5. Deal closures become faster
People assume lawyers slow things down. The opposite is true when the legal work is done properly. Clear terms = quicker decisions = faster signatures. Clarity removes negotiation back-and-forth.
6. Cash flow becomes safer and more predictable
Clarity in payment terms, milestones, penalties, and obligations protects cash flow — the lifeline of every business. Companies sleep better when payment ambiguity disappears.
7. People who rely on confusion lose leverage
Some professionals benefit when others don’t fully understand the contract. Clear drafting takes away this advantage. It creates a fair market where both parties operate with equal understanding.
And yes — this has caused disruptions.
So here is the apology you never asked for:
My Apology to the Business Community
I apologise for:
↳ Drafting in plain English
↳ Protecting shareholder rights
↳ Closing loopholes before they become problems
↳ Speeding up deal closures by removing ambiguity
↳ Making sure my clients do not pay for other people’s risk
I promise to try and limit the disruption.
(But between us… I probably won’t.)
Because business in the UAE moves fast.
And good legal work should accelerate it — not slow it down.
